Media Licensing & Usage Agreement
Effective Date: September 28, 2026
This Media Licensing & Usage Agreement explains how photographs, videos, aerial media, floor plans, 3D tours, graphics, social media content, and other creative materials produced through Soldwell Media may be used.
Soldwell Media is operated by Joel Overstreet Media LLC.
This agreement applies unless a separate written contract specifically provides different licensing terms.
1. Copyright and Ownership
Unless expressly transferred in a written agreement, copyright ownership is not transferred to the client simply because the client paid for photography, videography, editing, or another creative service.
Soldwell Media and/or the applicable creator retains ownership of, or otherwise controls the rights necessary to license, original media created through Soldwell Media.
The client receives a license to use completed media according to the terms below.
2. License Begins After Payment
Unless otherwise agreed in writing, the client's license becomes effective after all invoices associated with the applicable project have been paid in full.
Possession, preview access, downloading, or delivery of files before payment does not transfer copyright ownership or create broader usage rights.
3. Standard Real Estate Marketing License
For real estate listing media, Soldwell Media grants the paying client a non-exclusive license to use the completed media to advertise and market the property for which the media was originally commissioned.
Permitted uses generally include:
Multiple Listing Services
Brokerage websites
Realtor websites
Property websites
Zillow and other real estate portals
Social media
Email marketing
Digital advertising related to the listing
Printed listing materials
Flyers and brochures
Presentations related to the property
The client's portfolio of sold or represented properties
The client may submit the media to an MLS, brokerage, real estate portal, social media platform, advertising platform, or other service when reasonably necessary to market the property.
Such distribution does not transfer ownership of the underlying copyright to those parties unless Soldwell Media separately agrees in writing.
4. Social Media and Agent Branding
When media is commissioned for an agent's or brokerage's personal brand, Soldwell Media may grant usage for the client's business website, organic social media channels, email marketing, presentations, advertising, and other agreed brand-marketing purposes.
The scope of a branding or social-media license may differ from a property-listing license and may be defined in the applicable proposal, package, or service agreement.
5. Listing License Duration
The standard listing license permits use while the property is actively being marketed by the client who commissioned the media.
After the listing is sold, withdrawn, or expired, the client may generally retain previously published social media posts and may display the media as part of a portfolio or record of properties represented.
However, renewed commercial marketing of the property for a new sale, rental, new listing, or other campaign may require a new license.
6. Re-Listings
Media may not automatically be reused for a future listing or new marketing campaign simply because the same property is being marketed again.
If a property is relisted, withdrawn and returned to market, sold and later marketed again, converted to a rental, or otherwise used in a new commercial campaign, contact Soldwell Media regarding continued usage rights.
We may authorize continued use, issue an additional license, or recommend updated media depending on the circumstances.
7. Different Real Estate Agents
A license purchased by one real estate agent, team, brokerage, seller, builder, or other client does not automatically transfer to another agent or company.
If a listing changes agents, the new listing agent may not use Soldwell Media's photographs, videos, or other media unless Soldwell Media has granted permission or an appropriate license.
The fact that media appears on an MLS or real estate portal does not itself give another agent permission to download and reuse the media for a new listing.
8. Sellers and Homeowners
Unless specifically included in the original agreement, a homeowner or property seller does not automatically receive independent commercial usage rights simply because their property appears in the media.
Personal sharing of publicly released listing content is generally acceptable.
Reuse of the media for a later sale, rental, commercial project, business, publication, or other marketing purpose may require permission from Soldwell Media.
9. Builders, Architects, Designers, Stagers, and Other Vendors
Builders, developers, architects, interior designers, contractors, home stagers, landscapers, furniture companies, publications, vendors, and other businesses do not automatically receive commercial usage rights merely because their work or products appear in photographs or videos commissioned by another client.
Those businesses should contact Soldwell Media to obtain an appropriate commercial license before using the media for their own website, advertising, portfolio, publication, social media marketing, awards submissions, sales materials, or other commercial purposes.
Separate licensing fees may apply.
10. Brokerages
The commissioning client's brokerage may use the media as reasonably necessary to market the applicable listing when that use is part of the client's ordinary listing marketing.
Broader brokerage advertising, recruiting campaigns, corporate branding, paid campaigns unrelated to the property, resale, redistribution, or use by other agents may require additional permission or licensing.
11. MLS and Syndication
The client may upload appropriately licensed listing media to an MLS and permit normal syndication from the MLS to real estate portals as part of marketing the property.
Any technical license required by an MLS to display or distribute the media is limited to the extent reasonably necessary for listing syndication and does not constitute a voluntary transfer by the client or Soldwell Media of copyright ownership in the underlying work.
12. Prohibited Uses
Unless Soldwell Media provides written permission, clients and third parties may not:
Sell or resell the media
License the media to another party
Transfer the media to another listing agent for reuse
Claim authorship or copyright ownership
Submit the media to stock photography or stock video libraries
Turn the media into NFTs or similar digital assets
Use the media to train artificial intelligence systems
Use the media to create misleading representations of a property
Remove copyright information or intentionally conceal ownership information where provided
Use the media for an unrelated commercial campaign
Provide the media to builders, designers, vendors, or publications for their independent commercial use
Use the media in a way that is defamatory, unlawful, deceptive, or materially misleading
Uses outside the original license may be available through an additional written license.
13. Editing and Alterations
Clients may generally resize, crop, compress, add branding, add captions, add text, or format delivered media as reasonably necessary for permitted marketing platforms.
Clients should not materially alter photographs or videos in a manner that misrepresents the property's physical condition or creates a deceptive impression.
Substantial retouching, AI-generated additions or removals, object replacement, structural alterations, sky or environment manipulation beyond what Soldwell Media delivered, filters that substantially change the intended appearance, or derivative commercial works should not be created without permission when doing so could affect the integrity of the original work or exceed the licensed purpose.
14. Artificial Intelligence
Unless Soldwell Media expressly authorizes it in writing, delivered media may not be uploaded, licensed, sold, or supplied for the purpose of training an artificial intelligence model or machine-learning dataset.
Clients may use platform-level tools that incidentally process media when reasonably necessary to publish or advertise licensed content, provided that such use remains consistent with the client's authorized purpose.
15. Raw Files
RAW photographs, unedited footage, project files, editing timelines, original graphics files, source files, and similar production materials are not included in the standard license unless specifically stated in writing.
Delivery of a final photograph or video does not create an obligation for Soldwell Media to provide its underlying production files.
16. Music, Fonts, Templates, and Third-Party Assets
Videos and other content may include music, fonts, stock assets, templates, graphics, or other materials licensed from third parties.
The client receives only those rights permitted by the applicable third-party license.
The client may not extract, resell, separately distribute, or reuse third-party music or other licensed assets outside the completed deliverable unless separately authorized.
Some platforms may apply their own music or content-identification rules after content is uploaded.
17. Soldwell Media Portfolio Rights
Unless otherwise agreed in writing before production, Soldwell Media may use completed media to promote its own business.
This may include use on:
Soldwell Media social media accounts
Portfolios
Advertising
Sales presentations
Educational materials
Behind-the-scenes content
Case studies
Competitions and awards submissions
Printed marketing materials
Soldwell Media will make reasonable efforts to honor legitimate confidentiality requirements that are communicated and agreed upon before publication.
18. Confidential or Unpublished Properties
If a property, project, client, or campaign must remain confidential or unpublished, the client must communicate this requirement to Soldwell Media before the shoot or production whenever reasonably possible.
Any confidentiality arrangement that materially restricts Soldwell Media's normal portfolio rights should be confirmed in writing.
19. Client Representations
The client represents that they have the authority necessary to commission photography, filming, or other media at the property and to provide Soldwell Media with access necessary to perform the services.
If the client instructs Soldwell Media to incorporate client-provided logos, graphics, photographs, videos, music, copy, or other materials, the client represents that they have permission to use those materials.
20. Unauthorized Use
Use of Soldwell Media content outside the scope of the applicable license may constitute copyright infringement or breach of contract.
If unauthorized use is discovered, Soldwell Media may request removal, require the user to purchase an appropriate license, pursue reasonable licensing fees, terminate existing permissions, or exercise other rights available under applicable law.
21. Termination of License
Soldwell Media may terminate a license if the applicable invoice remains unpaid, payment is reversed, the license is materially violated, or the media is used in an unlawful or unauthorized manner.
Termination does not eliminate obligations or claims that arose before termination.
22. No Transfer of Copyright
Nothing in this agreement transfers copyright ownership unless a separate written document expressly identifies the rights being transferred and states that copyright ownership is being assigned.
A license to use content is different from ownership of the copyright.
23. Custom and Commercial Licensing
Expanded licenses are available for uses such as:
Builder marketing
Interior design portfolios
Architecture firms
Hospitality
Commercial developments
Publications
Editorial use
Advertising campaigns
Brand campaigns
Manufacturer marketing
Tourism
Corporate marketing
Long-term commercial usage

24. Governing Law
This agreement is governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
Any dispute will be handled in a court of competent jurisdiction unless the parties agree to another lawful dispute-resolution process.
25. Relationship to Other Agreements
These licensing terms supplement Soldwell Media's Terms & Conditions and any applicable proposal, invoice, booking terms, or service agreement.
If a signed project-specific agreement expressly grants different usage rights, the project-specific agreement controls for that project.
