Welcome to Soldwell Media.

These Terms & Conditions (“Terms”) govern your use of the Soldwell Media website and your purchase or use of photography, videography, aerial media, floor plans, 3D tours, social media content, advertising services, and other services provided by Soldwell Media.

Soldwell Media is operated by Joel Overstreet Media LLC (“Soldwell Media,” “we,” “us,” or “our”).

By accessing our website, requesting services, submitting a booking, approving a proposal, making payment, or otherwise engaging Soldwell Media, you agree to these Terms.

If a separate proposal, service agreement, contract, or statement of work is provided for a project, that agreement will also apply. If there is a direct conflict between these Terms and a signed project-specific agreement, the project-specific agreement will control.

1. Our Services

Soldwell Media provides real estate and commercial media services that may include:

  • Real estate photography

  • Real estate videography

  • Listing reels and social media videos

  • Cinematic property films

  • Drone photography and videography

  • Floor plans

  • Zillow 3D tours and similar virtual-tour services

  • Realtor social media content

  • Brand photography and videography

  • Content production

  • Advertising and marketing services

  • Meta advertising management

  • Other related creative and marketing services

The exact services and deliverables included in your project will be determined by the package, booking, proposal, invoice, or written agreement applicable to that project.

2. Booking

A requested appointment is not guaranteed until it has been accepted or confirmed by Soldwell Media.

Bookings may be completed through our website, booking platform, client portal, email, or another approved method.

We reserve the right to decline, modify, reschedule, or cancel a requested service when reasonably necessary, including because of scheduling conflicts, unsafe conditions, weather, equipment issues, property access issues, staffing availability, or circumstances outside our reasonable control.

3. Client Responsibilities

The client is responsible for ensuring that Soldwell Media has permission to enter and photograph or record the property.

Before the scheduled appointment, the client is responsible for making reasonable efforts to ensure that the property is prepared for photography and filming.

This may include cleaning, decluttering, securing valuables, removing confidential information, arranging pets, preparing landscaping, opening blinds, turning on lights, and completing other preparations described in Soldwell Media's pre-shoot checklist.

Our team may make minor visual adjustments while working, but extensive cleaning, furniture moving, staging, landscaping, or property preparation is not included unless specifically agreed upon.

Soldwell Media is not responsible for items that were not removed, hidden, cleaned, repaired, staged, or prepared before the shoot.

4. Property Access

The client is responsible for providing safe and timely access to the property.

This may include providing lockbox information, gate codes, alarm instructions, parking information, building access, or arranging for an authorized person to provide entry.

If our team cannot access the property or cannot reasonably begin work because of circumstances under the client's control, additional fees may apply for waiting time, travel, or rescheduling.

5. Safety

Soldwell Media reserves the right to stop, delay, modify, or refuse work when our team reasonably determines that conditions are unsafe.

Examples may include dangerous animals, hazardous construction areas, severe weather, structural hazards, unsafe occupants, illegal activity, unsafe flight conditions, or other circumstances that could place people or equipment at risk.

Safety decisions made by Soldwell Media personnel on location are final.

6. Drone Services

Drone operations are subject to weather, airspace restrictions, property conditions, safety requirements, equipment limitations, federal aviation requirements, and other factors outside Soldwell Media's control.

The inclusion of drone services does not guarantee that aerial operations will be possible at every property.

When aerial operations cannot legally or safely be performed, Soldwell Media may modify the deliverables, return at another appropriate time, or provide another reasonable solution depending on the circumstances of the project.

Drone operations performed on behalf of Soldwell Media will be conducted by appropriately qualified operators as required by applicable law.

7. Weather and Exterior Conditions

Soldwell Media cannot control weather, landscaping conditions, neighboring properties, construction, vehicles, seasonal appearance, sunlight, clouds, traffic, or other environmental conditions.

Weather-dependent services may be postponed or adjusted when necessary.

Requests for additional photography or filming because of later changes in weather, landscaping, staging, renovations, construction, or property condition may require an additional appointment and fee.

8. Turnaround Times

Soldwell Media's standard delivery goal for most real estate media is within approximately 48 hours unless otherwise stated.

Certain projects, larger productions, social media campaigns, revisions, holidays, weekends, specialty editing, or services involving third-party platforms may require additional time.

Turnaround times are estimates unless Soldwell Media expressly guarantees a delivery deadline in writing.

Rush delivery may be available for certain services for an additional fee.

9. Creative Style

By hiring Soldwell Media, the client acknowledges that they have reviewed our general body of work and understand our creative style.

Creative decisions may include composition, lighting, camera movement, editing, music selection, pacing, color, exposure, cropping, shot selection, sequencing, and other artistic decisions.

Reasonable client preferences communicated before production will be considered, but Soldwell Media retains creative discretion unless a specific creative requirement has been agreed upon in writing.

10. Revisions

Any revisions included with a service will be described in the applicable package, proposal, or agreement.

Requests that materially change the original scope, require substantial re-editing, introduce new creative direction after completion, or request deliverables not included in the original project may require additional fees.

Requests for revisions should be submitted within a reasonable period after delivery.

11. Raw Files and Project Files

Unless specifically agreed otherwise in writing, the purchase of services does not include RAW photographs, unedited footage, project files, editing timelines, working files, source graphics, or other production materials.

Soldwell Media is not obligated to permanently retain raw files or project files after the final media has been delivered.

Clients should download and properly store completed deliverables after delivery.

12. Payment

Pricing will be communicated through our website, booking platform, proposal, invoice, estimate, or service agreement.

Payment terms may vary depending on the project.

The client agrees to pay all approved fees, applicable taxes, travel charges, production expenses, advertising expenses, third-party costs, or other charges disclosed before or during the project.

Soldwell Media may require payment or a deposit before production, delivery, publication, advertising, or release of final media.

Unless expressly agreed otherwise, licenses to use Soldwell Media content become effective only after all applicable invoices have been paid in full.

13. Cancellations and Rescheduling

Cancellation and rescheduling requirements may be stated during booking, in a proposal, or in a project-specific agreement.

The client agrees to comply with any cancellation or rescheduling terms presented when the service is purchased.

Soldwell Media may charge reasonable cancellation, rescheduling, travel, or production fees when significant time or expenses have already been committed to a project.

Weather-related decisions will be handled reasonably based on the type of service being performed and actual conditions affecting production.

14. Travel

Services within Soldwell Media's standard service area may include travel as described in the applicable package or booking.

Projects outside that area may incur additional travel, mileage, lodging, airfare, parking, toll, assistant, or other transportation expenses.

Any substantial travel expenses will normally be communicated before the project is confirmed.

15. Media Ownership and Licensing

Unless otherwise agreed in writing, paying for Soldwell Media services does not constitute a transfer of copyright ownership.

Media created through Soldwell Media is licensed according to our Media Licensing & Usage Agreement, which is incorporated into these Terms by reference.

Clients receive only the usage rights granted under that agreement or another written agreement applicable to the project.

16. Third-Party Platforms

Our services may rely on third-party platforms or providers, including booking systems, MLS platforms, social media networks, Zillow, cloud storage providers, payment processors, property website providers, advertising platforms, music licensing providers, and other technology companies.

Soldwell Media does not control the availability, policies, functionality, outages, compression, algorithm changes, account restrictions, or technical performance of third-party services.

We are not responsible for failures or changes caused by third-party platforms outside our reasonable control.

17. Property Websites, Floor Plans, and 3D Tours

Property websites, floor plans, virtual tours, and related services may rely on third-party software or hosting.

Measurements and floor plans are provided primarily for marketing and visualization purposes and should not be treated as surveys, architectural drawings, appraisals, engineering documents, or guaranteed measurements.

Buyers, sellers, agents, and other parties should independently verify measurements and property information when accuracy is material to a transaction.

18. Advertising and Marketing Services

When Soldwell Media provides advertising, social media, lead-generation, or Meta Ads management services, we do not guarantee any particular number of impressions, views, leads, messages, appointments, closings, sales, revenue, return on advertising spend, or other business result.

Advertising performance depends on many factors outside our control, including the market, offer, property, pricing, advertising platform, competition, audience, seasonality, client follow-up, budget, and changes to platform algorithms or policies.

Unless otherwise stated in writing, advertising spend paid to platforms such as Meta is separate from Soldwell Media's management or creative fees.

The client is responsible for ensuring that information, claims, listings, offers, targeting instructions, and materials supplied to Soldwell Media are accurate, lawful, and authorized.

The client remains responsible for complying with applicable real estate advertising requirements, fair housing requirements, brokerage requirements, and advertising platform policies.

19. No Guarantee of Real Estate Results

Professional media and marketing can support a property's presentation and an agent's marketing strategy, but Soldwell Media does not guarantee that a property will sell, sell within a particular timeframe, receive a certain number of showings, achieve a particular sales price, or generate a particular business result.

20. Portfolio and Promotional Use

Unless otherwise agreed in writing, Soldwell Media may display media created through our services in our portfolio, website, social media accounts, presentations, advertisements, educational content, awards submissions, promotional materials, and other examples of our work.

Clients requiring confidentiality should communicate that requirement before production so that any restrictions can be agreed upon in writing.

21. Client-Supplied Materials

When the client provides logos, music, photographs, videos, graphics, trademarks, copy, property information, testimonials, or other materials, the client represents that they have the necessary rights and permissions for Soldwell Media to use those materials for the project.

The client is responsible for claims arising from materials supplied by the client when Soldwell Media uses those materials as instructed.

22. Website Content

The Soldwell Media website, including its photographs, videos, graphics, text, branding, logos, layout, design, and other original material, is owned by or licensed to Soldwell Media and may be protected by copyright, trademark, and other intellectual property laws.

Website content may not be copied, reproduced, republished, sold, scraped, distributed, modified, or commercially exploited without authorization except where permitted by law.

23. Acceptable Website Use

You agree not to use our website or services to engage in unlawful activity, interfere with the operation or security of the website, attempt unauthorized access to our systems, submit malicious software, impersonate another person, or use our content in a way that infringes intellectual property or other legal rights.

24. Disclaimer of Warranties

To the fullest extent permitted by applicable law, our website and services are provided on an “as available” basis.

While we take reasonable steps to provide professional services, we do not warrant that our website or every third-party platform will always be uninterrupted, error-free, or available.

Nothing in these Terms excludes any warranty or legal protection that cannot lawfully be excluded.

25. Limitation of Liability

To the fullest extent permitted by applicable law, Soldwell Media and Joel Overstreet Media LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the website, services, lost business opportunities, lost profits, platform outages, data loss, advertising performance, or use of delivered media.

To the fullest extent permitted by law, Soldwell Media's total liability arising from a particular paid project will not exceed the amount actually paid to Soldwell Media for the specific service giving rise to the claim.

These limitations do not apply where prohibited by law.

26. Indemnification

To the fullest extent permitted by law, the client agrees to indemnify and hold harmless Soldwell Media, Joel Overstreet Media LLC, and their owners, employees, contractors, and representatives from third-party claims, losses, liabilities, or reasonable expenses arising from materials or instructions supplied by the client, unauthorized use of delivered media, lack of authority to access or photograph a property, or violation of applicable law by the client.

27. Force Majeure

Soldwell Media will not be responsible for delays or failure to perform caused by circumstances reasonably outside our control, including severe weather, natural disasters, power or internet outages, illness, accidents, government restrictions, labor disruptions, equipment failure despite reasonable precautions, transportation disruptions, platform outages, or similar events.

We will make reasonable efforts to communicate and find an appropriate solution when such circumstances occur.

28. Privacy

Our collection and use of personal information is governed by our Privacy Policy and Cookie Policy.

By using our website or services, you acknowledge those policies.

29. Electronic Communications and Acceptance

You consent to conducting business with Soldwell Media electronically.

Submitting an online booking, approving a proposal, checking an acceptance box, electronically signing an agreement, submitting payment, or otherwise electronically indicating acceptance may constitute your agreement to the applicable terms.

Electronic communications, records, approvals, and signatures may be used in connection with our business relationship as permitted by applicable law.

30. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any dispute arising from these Terms or Soldwell Media's services will be handled in a court of competent jurisdiction unless the parties agree to another lawful dispute-resolution process.

31. Severability

If any portion of these Terms is determined to be unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

32. No Waiver

Failure by Soldwell Media to enforce a provision of these Terms does not waive our right to enforce that provision later.

33. Changes to These Terms

We may revise these Terms from time to time as our services, technology, or legal obligations change.

The Effective Date at the top of this page indicates when these Terms were last updated.

Changes will apply prospectively unless otherwise required by law.
